Please read these Terms and Conditions (“Agreement”, “Terms and Conditions”) carefully before using https://cipiai.com (“the Site”) operated by the trade name Bisdev Solutions Limited (“Company”, “us“, “we“, or “our“). This Agreement sets forth the legally binding terms and conditions for your use of the Site at https://cipiai.com.
By submitting an application or accessing the Company Platform, you are agreeing to be bound by the terms and conditions of the Webmaster Program (referred to as the “T&Cs“). These T&Cs, along with our Privacy Notice and the Data Processing Addendum, which are incorporated by reference, as well as any future amendments or related orders between you and the Company, govern the relationship between you (referred to as the “Webmaster“ or “you“) and the Company (referred to as “Bisdev Solutions Limited“) and apply to your participation in the Webmaster Program. Together, these documents constitute the “Agreement“.

1. Definitions

“Account“ refers to Affiliate’s account at CIPIAI web-site https://.cipiai.com.
“Action“ refers to various types of events, such as clicks, installations, sales, downloads, leads, impressions, registrations, subscriptions, or other specified events, that are eligible for remuneration by the Advertiser.
“Advertiser“ refers to a client of the CIPIAI who wants to promote their product or service through the Webmaster Program.
“Advertiser Product“ refers to the products, services, or other offerings that are promoted by the CIPIAI through the Webmaster Program on behalf of the Advertiser.
“Advertiser Platform“ refers to the landing page, website, or app that users may be redirected to through the Links.
“Advertising Materials“ refers to any trademarks, advertising content, images, text, video, data, or other materials provided by or on behalf of the Advertiser to the CIPIAI.
“Webmaster Program“ refers to the participation of the Webmaster in the CIPIAI Platform as a Webmaster of the CIPIAI, providing and making available Webmaster Media to the CIPIAI.
“CIPIAI Affiliate Offer(s)“ refers to Offers available for Affiliates in the CIPIAI network, each Offer includes specifications relating to Advertising Materials that are to be used/linked/placed/displayed on the Traffic source(s) of Affiliates. Offers are considered to be completed through the actions that meet certain criteria or requirements of the end user(s).
“Commission“ refers to the amount paid to the Webmaster for promoting an Advertiser Product or for providing advertising space, as agreed upon by the Parties.
“Company“ refers to Bisdev Solutions Limited, a company with a registered office in Hong Kong.
“Content“ means textual, visual, or aural content that is encountered as part of the Affiliate’s website(s)/Traffic source(s). It may include documents, data, applications, e-services, images, audio and video files, personal web pages, archived e-mail messages, and etc.
“Company Platform“ refers to the internet website and platform owned and operated by the CIPIAI to provide the Services.
“Links“ refers to graphic and textual links to the Advertiser Service.
“Parties“ refers to both the Webmaster and the CIPIAI together, and “Party“ in the singular refers to either of these parties.
“Webmaster“ refers to the party entering into this Agreement with the Company.
“Webmaster Media“ refers to websites or other internet inventory that is owned, maintained, or controlled by the Webmaster, and to which the Webmaster has the right to use to make advertising space available. This may include the Webmaster's own stock of internet advertising space or space purchased on third party platforms.
“Services“ refers to the services or assistance provided by the CIPIAI under this Agreement.
“Traffic Source“ refers to any and/or all web sites, doorways, social networks, emails marketing, Traffic sources of the Affiliate and/or any other Traffic source available for the Affiliate in each Offer through the CIPIAI network for the provision of the services under the terms of this Agreement.

2. The Service

2.1 To qualify as a Webmaster and offer the Services, you must register and create an Account on the Platform. You agree to furnish accurate and complete information about yourself during the registration process and not to conceal your identity from CIPIAI for any reason. CIPIAI may request that you provide certain documents to establish your identity and verify the information you submitted upon registration, such as an identification card or passport, a utility bill, a bank statement, or any document issued by a governmental body.

2.2 To qualify for CIPIAI Webmaster status, all websites must be content-founded that is not primarily composed of links or advertisements and must not be primarily geared towards generating revenue from advertisers, must function properly in all aspects, and must comply with all relevant laws and regulations.

2.3 By submitting your account application or registering as a Webmaster, you attest to your understanding and unqualified acceptance of this Agreement and other policies of CIPIAI, including but not limited to the Privacy Policy, which pertain to the Services. You also confirm that you are a duly authorized representative, possess full legal capacity, and have the necessary authority to bind the individual, company, or other entity. By providing a legally binding electronic signature and entering into this legally binding contract, you are affirming the foregoing statements.

2.4 The material on the Webmaster's website(s) or affiliated website(s) or websites where Ads are placed must not infringe on the rights of any third party or violate any law, as required by law or determined by us at our sole discretion, including but not limited to the following:
  • no misleading information or other materials that provide false information to the user.
  • adult, pornographic, nude, violent content
  • weapon, drugs, alcohol, tobacco, or any related products promotion
  • politics-oriented content
  • material that libels, insults, or threatens physical harm to others.
  • brand mimicry, intellectual property rights
  • racist, ethnic, political, hateful, or otherwise offensive content.
  • illegal online gambling and/or illegal ways of gambling monetization
  • fraudulent, unauthorised, inaccurate, false, misleading, fabricated, reproduced information, facts, news, offers, solutions, guidelines related to or attempting to exploit vulnerabilities of all kinds, including but not limited to physical, mental, psychological, social, religious, economic, scientific vulnerabilities
  • malware, phishing, adware, viruses, and any related content

2.5 Webmaster comprehends and consents that CIPIAI prohibits the creation of multiple accounts for each Webmaster. Webmaster agrees not to submit an account application or register as a Webmaster more than once, or hold more than one account with CIPIAI for any purpose, or to gain any advantage from any marketing promotional program/project or offer available for the Webmaster by CIPIAI.

2.6 Without explicit written permission from CIPIAI, you cannot transfer your account to anyone else and you may not use the account or password of anyone else at any time without the express permission and consent of the account holder. If you do not comply with these obligations, CIPIAI will not be responsible for any loss or damage that may occur.

2.7 CIPIAI provides Self-Service or Management service.
Under the Self-Service method, you will be granted access to the Service through your personal account. CIPIAI’s support team may assist you upon request, however, any actions or modifications made through your account will be considered to have been made solely by you.
Under the Management service, CIPIAI managers will provide assistance in using the Services and Program.

2.8 Any information, support, assistance, or service provided during the Self-Service or Management Services, or during the Provision of the Services themselves, should not be interpreted as containing advice, recommendation, offer, or solicitation for any service, regardless of the type, form, or manner in which it is provided. Additionally, any past performance described is not a guarantee or prediction of future performance. CIPIAI does not consider your personal objectives or financial situation. CIPIAI makes no representation and assumes no liability for the accuracy or completeness of the information provided, nor for any loss arising from any action based on an assumed recommendation, forecast, or other information supplied by any CIPIAI support team.

3. Advertisement placement

3.1 The Webmaster shall not display advertisements on websites or directories that contain prohibited and/or illegal materials. Additionally, the Webmaster shall not display advertisements on websites or directories that contain spyware or malicious code, or on websites or directories that may be considered questionable or inappropriate. If advertisements are displayed on any of these types of sites or directories, CIPIAI reserves the right to withhold payment for the entire campaign and/or to take legal action against the Webmaster and/or to impose a monetary fine based on the damages suffered by CIPIAI.

3.2 CIPIAI does not monitor or regulate the activities or content on your Traffic source(s). However, we reserve the right to reject any of our services and delete your account if you are found to be participating in fraudulent or illegal activity. We also reserve the right to withhold and freeze any fees or remunerations in such cases. It is the affiliate's responsibility to manage, operate, and maintain all aspects of their Traffic source(s) and their content.

4. Reporting

4.1 Expenses of using Service is determined by the number of Offers completed within a reported period, as recorded by the CIPIAI reporting system in the client's personal account. This number is based on the Qualified Actions of end users as determined by the system. For the purpose of billing and general performance reporting, all statistics are based solely on CIPIAI’s reporting system.

4.2 CIPIAI reserves the right to make adjustments to the Affiliate's accounts in the following circumstances:
  • fraudulent activity
  • advertiser’s complaints or refunds
  • bonuses and promotions
  • technical causes

5. Payments

5.1 Webmaster will be remunerated in accordance with the terms of each Campaign. CIPIAI shall pay any sums due approximately 15 days after the cashout request made on the platform, minus any taxes required to be withheld under applicable law, provided that CIPIAI may, at its discretion, retain payments until the Advertiser has paid CIPIAI for any Campaign. In addition to any other remedies available to CIPIAI, in the event of any breaches by the Webmaster of these Terms and Conditions, the Webmaster shall forfeit their rights to any sums owed by CIPIAI to the Webmaster. CIPIAI reserves the right to withhold or reduce any payments owed to the Webmaster as a result of any offsets taken by Advertisers for fraudulent traffic, invalid Events, technical errors, tracking discrepancies and the like. CIPIAI shall compile, calculate, and electronically deliver the data required to determine the Webmaster's billing and compensation. Any queries regarding the data provided by CIPIAI must be submitted in writing within 10 business days of receipt, otherwise the information will be deemed accurate and accepted as such by the Webmaster.

5.2 CIPIAI offers its affiliates a variety of payment methods and terms. The first payout for newly registered affiliates may be processed no earlier than 14 days after the first impression/advertisement. Subsequent payouts are processed twice per month with a hold of 7 days. These payouts occur on the 7th and 22nd of each month for services rendered in the previous and current month, respectively, or according to other payment terms available in the affiliate's personal account. If the 7th or 22nd falls on a weekend, the payout will be processed on the following business day. The minimum payment amount for payment service providers is USD $100, while the minimum payment amount for wire transfers is USD $1,000.

5.3 CIPIAI will only pay for events that occur during an active campaign and will base invoices and payments on events reported by CIPIAI. CIPIAI is not responsible for compensating the Webmaster for events that are not recorded due to the Webmaster's error.

5.4 Webmaster's responsibility is to provide valid payment details in their personal account on the service and to notify CIPIAI of any changes 14 days prior to the payment due date. Webmaster is also responsible for any payment fees that may be required. All payments will be made to the payment details specified in the Webmaster's personal account on the service.

5.5 If you suspect an issue with a transaction, please notify us immediately. We will make possible efforts to resolve any delays or errors in payment processing. If Webmaster does not report a claim within 30 days of the charge, they waive all claims against CIPIAI related to the transaction. If a technical failure or interruption of service causes your funding transaction to fail, you may request to complete the transaction at a later time.

5.6 Upon execution of this agreement, you consent to receiving Webmaster revenue from CIPIAI or any of its affiliates, agents, sub-contractors, distributors or subsidiaries.

6. Representations, Warranties and Covenants

6.1 Both Parties represent and warrant to each other that:
  • this Agreement is executed and signed by a duly authorised representative of the warranting Party;
  • they have full capacity and authority and all the necessary licenses, permits and consents (including, where its circumstances and procedures so require, the consent of its parent company) to enter into and to perform this Agreement and shall maintain the same during the term of this Agreement;
  • they are not insolvent or unable to pay their debts, that no order has been issued or any petition requested or resolution passed for its winding up or for an administration order and no receiver, administrative receiver or administrator or manager has been appointed by any person of its business or assets or any part thereof nor has any equivalent event like the ones mentioned taken place.

6.2 Company represents and warrants to Webmaster that:
  • the use of the advertising space shall be in compliance with all applicable laws, enactments, orders, regulations, and other similar instruments in each jurisdiction in which the inventory space is supplied and in each country or territory which exercises effective jurisdiction over the use of the space;
  • the use of the space and Company's actions pursuant to this Agreement shall not infringe the intellectual property rights of any third party.

6.3 Webmaster represents and warrants to Company that:
  • has legal rights to use and distribute all content, copyrighted material of the advertising materials created by you; you agree not to use deceit when marketing advertiser's offers or presenting these offers to consumers; you have the right, power, and authority to enter into this Agreement and grant the rights specified herein;
  • admits that CIPIAI does not represent, warrant, or make any specific or implied promises as to the successful use of Service;
  • agrees not to promote via advertising materials, website or link to websites containing any pornographic, racial, ethnic, political, software pirating or hacking, hate-mongering, or otherwise objectionable content;
  • will not attempt in any way to alter, modify, eliminate, conceal, or otherwise render inoperable or ineffective the website tags, source codes, links, pixels, modules or other data provided by or obtained from CIPIAI that allows CIPIAI to measure ad performance and provide its service;
  • agrees not to engage in any illegal activity, in accordance with applicable law, whatsoever, is not allowed;
  • agrees to display the creative exactly as it appears on the Service and will not alter any creative that has been placed through the Service;
  • agrees to promote the Ads strictly as it required in Offer available in the Program and CIPIAI Network;
  • if you are notified that fraudulent activities may be occurring on your Traffic source(s), and you do not take any actions to stop the fraudulent activities, then you are responsible for all associated costs and legal fees resulting in these fraudulent activities;
  • admits that every case of violation of the terms of this Agreement will lead to material and business standing losses of CIPIAI in the amount of at least US $1,000. Therefore, CIPIAI reserves the right to recover damages caused in the specified amount, or the amount of actually incurred losses, in the event of your breach of contract. Such losses may be deducted from the balance of your personal account in the Service.
  • undertakes to ensure that its servers or servers of websites where advertising materials are placed support the traffic directed to ad campaigns through our Service. CIPIAI takes no responsibility for all the consequences in the event the servers cannot support the traffic directed to a website. You shall test the website to ensure its correct appearance in different web browsers, devices or systems and optimize it if necessary.
  • shall not attempt to obtain fees by using methods to artificially and/or fraudulently inflate the volumes of impressions, clicks or actions. These methods include, but are not limited to using bots/infected devices/cookie-stuffing and etc.

7. Fraudulent activity

7.1 Webmaster is strictly prohibited from engaging in any conduct that involves fraud, violation of any applicable law, interference with other Webmasters of the CIPIAI, or falsification of information in connection with referrals made through the Advertising Materials or Links, or the generation of Commissions, or exceeding the Webmaster's permitted access to the CIPIAI Program. Such conduct includes, but is not limited to, using automated means to increase the number of Actions through the Advertising Materials or Links or completion of any required information, using spyware, stealware, cookie-stuffing, and other deceptive acts or click-fraud.

7.2 If the Affiliate is suspected of engaging in any fraudulent activity, CIPIAI shall have the right to terminate the Affiliate's participation in all or any Offers, ban the Affiliate Account, withhold the account balance, and take all necessary legal actions to remedy any damages caused by this violation. Any Offers/Services carried out on the Affiliate's Traffic source(s) involving fraudulent activities will not be eligible for payment.

8. Suspension or Termination

8.1 CIPIAI reserves the right to suspend or terminate your Account if we have reason to believe or suspect that you are in breach of this Agreement or other legal obligation (including fraudulent activity) without prior notice or liability. CIPIAI also reserves the right to change, suspend or discontinue all or any part of the Services at any time without prior notice or liability. Should your Account be suspended or terminated you will lose access to your Account and will not be able to undertake any transaction on the Platform.

8.2 CIPIAI further reserves the right in its sole discretion, to refuse or cancel any of its Services, and/or refuse to distribute profits (including Net fees) to any person for legitimate reasons, including, without limitation:
  • if we have reason to believe that your activities or use of the Services may be illegal;
  • if we may be harmed by any fiscal or pecuniary damage due to your activities on or through the Services;
  • if we consider that you have used the Services in a manner which contravenes any of these Terms at our sole discretion;
  • if you use unauthorized Advertising Materials;
  • if you are in breach of the Offer’s rules;
  • if you promote an Offer using prohibited sources as described in Offer’s rules.

9. Indemnification

You shall indemnify and hold CIPIAI harmless from any third party claims, allegations, liabilities, costs, and expenses (including reasonable attorneys' fees) that may arise from your improper use of the Service, improper operation of a Program, or breach or violation of any clause of this Agreement or other mutual agreement of its parties.

10. Intellectual Property Rights

10.1 By this agreement, we grant you a non-exclusive, non-transferable, and revocable right to use CIPIAI Service and to access our website through our Service, subject to the terms and conditions of this Agreement.

10.2 You may not alter, modify, or create derivative works of CIPIAI or any of our materials. We reserve the right to revoke your license at any time with written notice. This Agreement does not grant you any rights to CIPIAI’s trademarks, service marks, copyrights, patents, or trade secrets. You agree to provide suggestions, comments, or recommendations to CIPIAI without compensation. All rights not expressly granted are reserved by CIPIAI.

10.3 All parties hereby agree that CIPIAI does not have the authority or ability to control content made by the Webmaster or on websites where the Webmaster places ads, and therefore cannot be held responsible for any breach of third party intellectual property rights or other rights.

11. Force Majeure

CIPIAI shall not be liable or responsible to the Webmaster, or deemed to have breached these terms, for any failure or delay in fulfilling or performing their obligations if and to the extent that such failure or delay is caused by acts beyond their reasonable control, such circumstances include, but are not limited to, any strike, factory closure, explosion, maritime peril, natural disaster, act by a public enemy, fire, flood, accident, war, riot, insurgence or any other similar event.

12. Disclaimers

The Webmaster Program, advertising materials, and links, as well as the products and services provided in connection with them, are provided to the Webmaster “as is.“ Except as expressly set forth in this agreement, the company disclaims all warranties, express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranties arising out of course of dealing, usage, or trade. The company does not guarantee that the Webmaster Program or advertising materials and links will meet the Webmaster's specific requirements or that the operation of the Webmaster Program or advertising materials and links will be completely error-free or uninterrupted. The company expressly disclaims any liability for any act or omission of an advertiser or their products or services. The company does not guarantee that the Webmaster will earn any specific amount of commissions.

13. Miscellaneous

13.1 The failure of either party to assert any right under this Terms and Conditions shall not be considered a waiver of any that party's right and that right will remain in full force and effect;

13.2 You agree on using any communication method (email message/SMS message/phone) with contact details provided in your personal account.

13.3 You agree that, without regard to any statue or contrary law, that any claim or cause arising out of this website or its services must be filed within one (1) year after such claim or cause arose or the claim shall be forever barred; (iv) We may assign our rights and obligations under this Terms and Conditions and we shall be relieved of any further obligation.

13.3 Present Agreement is the principal document in the legal relationship of the Parties, and shall be deemed an entire agreement of the Parties. In case of contradictions in using Service or Program, present Agreement shall prevail in any case.

13.4 Webmaster acknowledges and agrees that entering into this Agreement it has not relied and is not relying on any representations, warranties or other statements whatsoever, whether written or oral other than those expressly set out in this Agreement, Privacy Policy or other terms and conditions published at www.cipiai.com and that it will not have any right or remedy rising out of any representation, warranty or other statement not expressly set out in this Agreement.
